Terms of Service

1. Acceptance

By accessing or using prava.space (the “Service”) you agree to these Terms of Service (the “Terms”). If you do not agree, do not use the Service.

Agreement to Terms

By accessing or using the Service, creating an account, or integrating with our APIs, you agree to be bound by these Terms and by our Privacy Policy. If you are acting for an organization, you represent that you have authority to bind that organization. If you do not accept the Terms, do not use the Service.

3. The Service

Prava provides infrastructure that allows AI Agents (or human users) to authenticate, tokenize payment instruments, and issue payment instructions through regulated third-party payment processors. Prava is not a bank, money-service business, or licensed money transmitter; settlement takes place via our regulated partners.

3.1 Beta and Pre-release Features

Features labeled “Beta,” “Preview,” or similar are offered as-is, may change without notice, and may be subject to additional terms.

3.2 Third-Party Services

The Service relies on third parties—such as card networks, acquirers, cloud hosts, and Google Sign-In. We are not responsible for third-party failures.

4. Account Registration and Security

  • You must be at least 18 years old.

  • Registration requires a valid email (Google sign-in or other provider) and multifactor authentication if prompted.

  • You must keep credentials and API keys confidential and notify Prava immediately of any unauthorized access.

  • We may refuse, suspend, or terminate accounts in our sole discretion.

5. Your Obligations

  1. Comply with all laws and network rules, including sanctions, export controls, and local regulations on payments or AI.

  2. Provide accurate information and update it promptly.

  3. Maintain security of your systems that connect to the Service.

  4. Handle Google User Data correctly—store, process, and share it only as allowed by Google’s API Services User Data Policy, including the “Limited Use” rules.​Google for Developers

6. Acceptable Use — Prohibited Activities

You will not:

  • Violate any law, regulation, or card-network rule.

  • Facilitate money laundering, terrorist financing, or other illegal transactions.

  • Interfere with or disrupt the Service, attempt to gain unauthorized access, or reverse-engineer any component.

  • Deploy self-replicating code, crypto-mining scripts, or denial-of-service attacks.

  • Sell, rent, or transfer personal data—including Google User Data—to advertisers or data brokers.

  • Misrepresent your identity or the purpose of payments.
    Prava may investigate violations and suspend or terminate access.

7. API Keys, Rate Limits, and Quotas

We may impose usage limits. Automated calls that exceed limits or bypass issued credentials may be throttled or blocked. Limits can change at any time.

8. Fees, Taxes, and Settlement

  • Current pricing appears in the dashboard or an Order Form.

  • Fees are exclusive of taxes; you are responsible for VAT/GST or similar unless exempt.

  • We may auto-debit fees from settlement funds or a payment method on file.

  • We may add or change fees with 30 days’ notice by email or in-app banner. Continuing to use the Service after the notice period means you accept the new fees.

9. Intellectual-Property Rights

Prava retains all rights in the Service. You retain all rights in your Content. You grant Prava and its sub-processors a worldwide, royalty-free license to host, process, and transmit Content solely to operate the Service.

9.1 Feedback

If you submit ideas or suggestions, you grant Prava a perpetual, irrevocable, royalty-free license to use them without restriction.

10. Confidentiality

Information marked confidential—or that a reasonable person would consider confidential—must be protected using at least the same care you use for your own confidential information and may be used only to fulfill these Terms.

11. Privacy and Data Protection

Our Privacy Policy explains how we handle personal data. Use and transfer of Google User Data complies with Google’s Limited Use requirements; we do not allow human access except as that policy permits.​Google for Developers

12. Security Responsibilities

Prava protects data in transit with TLS 1.3 and at rest with AES-256 or stronger. You must secure your own systems and promptly patch vulnerabilities that could affect the Service.

13. Suspension and Termination

We may suspend or terminate your access for:

  • Breach of these Terms.

  • Security, fraud, or legal risk.

  • Orders from a payment network, regulator, or competent authority.
    You may terminate at any time by closing your account. Sections 8–18 survive termination.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

15. Limitation of Liability

To the fullest extent permitted by law:

  • Prava’s total cumulative liability arising from the Service will not exceed the greater of (a) USD 1,000 or (b) the total fees you paid Prava in the 12 months preceding the event.

  • Prava will not be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenues, data, or goodwill.

16. Indemnification

You will indemnify and hold harmless Prava, its officers, directors, and employees from any third-party claim arising from:

  • Your Content.

  • Your or your AI Agents’ misuse of the Service.

  • Your breach of these Terms or of any law.

17. Changes to Service or Terms

Prava may modify or discontinue any part of the Service, or revise these Terms, at any time and without prior user approval or individual notice. Updated Terms are effective upon posting at prava.space/terms. Continued use after changes become effective constitutes acceptance.
Exception — Google User Data: if a change materially expands how we use Google User Data, we will obtain additional consent where Google policy requires it.​Google for Developers

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of Delaware, USA, excluding conflict-of-law rules. The parties consent to exclusive jurisdiction in the state and federal courts of Wilmington, Delaware, except that either party may seek injunctive relief in any jurisdiction to protect intellectual property or confidential information.

19. Export Controls and Sanctions

You may not use the Service in violation of U.S. export laws or OFAC sanctions. You confirm you are not on any U.S. government prohibited list.

20. Force Majeure

Prava is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, labor disputes, internet outages, or governmental action.

21. Assignment

Prava may assign these Terms without notice. You may not assign or transfer your rights or obligations without Prava’s prior written consent.

22. Miscellaneous

  • Severability: If any provision is unenforceable, the remainder remains in effect.

  • Waiver: Failure to enforce a provision is not a waiver of future enforcement.

  • Entire Agreement: These Terms (and any Order Form) constitute the entire agreement between you and Prava and supersede all prior agreements.

  • Headings: Used for convenience only and have no legal effect.

23. Notices

Legal notices to Prava must be emailed to support@prava.space and are deemed received when acknowledged. Prava may send notices to the email associated with your account or display an in-app banner.
